Partner Program Terms

Contractual agreement governing your participation in the ark.stock affiliate program

By joining the ark.stock Partner Program, you agree to the following terms. This agreement defines the mutual rights and obligations between you (the "Partner") and ark.swiss Sàrl ("ark.stock"). Please read this entire document carefully.

1. Definitions

Partner: Individual or legal entity admitted to the ark.stock affiliate program.
Referred Client: Any new customer who signs up for ark.stock through your affiliate link or partner code and subscribes to a paid plan.
Commission: Compensation paid to the Partner, calculated as a percentage of the Referred Client's monthly subscription (excluding taxes).
Affiliate Link: Unique URL containing your partner identifier, enabling automatic conversion tracking.
Partner Code: Unique alphanumeric code that prospects can enter during registration to attribute the conversion to you.

2. Program Admission

Admission to the partner program is subject to validation by our team. We evaluate each application individually and reserve the right to refuse any request without justification. Eligible profiles include:

Audiovisual agencies and service providers (production, events, rental)

IT consultants and professional solutions integrators

ERP integrators and complementary software publishers

Freelancers and independents in the technical sector

Validation period: 24 to 48 business hours after application form submission.

3. Independent Contractor Status

The Partner acts as an independent contractor. This agreement does not create any employment, subordination, agency, or joint venture relationship between the parties. The Partner is solely responsible for their tax, social security, and accounting obligations. ark.swiss Sàrl provides no social coverage, insurance, or employment-related benefits.

4. Commission Structure

Commissions are calculated on the monthly subscription amount (excluding taxes) of Referred Clients. The commission rate evolves based on the number of active clients in your portfolio:

0-9 active clients

Silver

25%

10-24 active clients

Gold

30%

25+ active clients

Commission duration: 24 months per Referred Client from their first paid subscription. Beyond this period, no commission is due for that client.

5. Payment Terms

Commission payout on request from your partner dashboard.

Multiple payment methods available (bank transfer, PayPal, Twint, Stripe).

No minimum amount required to trigger a payment.

30-day delay after client payment to account for the refund period.

Detailed commission report accessible in your partner dashboard.

6. Tracking & Attribution

Tracking cookie: 90 days validity after initial click.

Partner code: manual attribution valid indefinitely if entered by the prospect.

Attribution model: First click wins (first-touch attribution).

Dashboard to track your conversions, commissions, and payments.

7. Promotion Rules

The Partner has access to official marketing materials (logos, visuals, pre-approved texts). Any customized promotional content must be submitted for approval before distribution. The Partner agrees to respect the ark.stock brand image and not make misleading statements about service features or pricing.

PPC Restriction: Purchasing keywords containing "ark.stock", "ark stock" or any variation of our brand is strictly prohibited on advertising platforms (Google Ads, Bing Ads, Meta Ads, etc.).

8. Disclosure Requirements

In compliance with FTC regulations (USA) and European directives, the Partner must clearly disclose the commercial nature of their recommendations. Any promotion of ark.stock must include a visible mention indicating that the Partner receives a commission on sales made. False statements, fabricated testimonials, or unverifiable claims are strictly prohibited.

9. Intellectual Property

ark.swiss Sàrl grants the Partner a limited, non-exclusive, and revocable license to use trademarks, logos, and marketing materials exclusively for promoting the service. This license may be revoked at any time. Original content created by the Partner (articles, videos, publications) remains their property but must not harm the ark.stock image.

10. Confidentiality

The Partner agrees to keep strictly confidential:

Information relating to Referred Clients (personal data, purchasing behavior)
Marketing strategies, product roadmap, and commercial information shared by ark.stock

11. Prohibited Practices

The following behaviors will result in immediate partnership termination and loss of pending commissions:

Spam, mass unsolicited emails, aggressive cold calling

Cookie stuffing, click fraud, tracking metrics manipulation

Misrepresentation of your connection with ark.stock (e.g., presenting yourself as an employee)

Simultaneous promotion of direct competing solutions to the same prospects

12. Term & Termination

This agreement is concluded for an indefinite period. Either party may terminate it with 30 days notice by email. In case of termination, commissions due on already validated conversions will be paid according to the normal schedule. The Partner must immediately cease all use of ark.stock trademarks and materials.

Causes for immediate termination without notice: proven fraud, serious violation of terms, damage to ark.stock reputation, illegal activity.

13. Terms Modifications

ark.swiss Sàrl reserves the right to modify these terms at any time. Any significant modification will be notified by email with 30 days notice. Continued participation in the program after this period constitutes acceptance of the new terms. In case of disagreement, the Partner may terminate their participation without penalty.

14. Limitation of Liability

ark.swiss Sàrl does not guarantee any level of revenue or conversions. ark.stock's liability to the Partner is limited to the amount of commissions actually due. ark.swiss Sàrl cannot be held responsible for indirect damages, loss of profits, or reputational harm. The parties agree to mutual indemnification in case of third-party claims resulting from a violation of this agreement.

15. Applicable Law

This agreement is governed by Swiss law. Any dispute arising from or relating to this agreement shall be submitted to the exclusive jurisdiction of the District Court of East Vaud in Vevey, Switzerland, after an attempt at amicable resolution.
